本合同双方同意按“合同能源管理”模式就 A公司（B厂房屋顶）分布式光伏发电
项目（以下简称“项目”或“本项目”）进行专项节能服务，并支付相应的光伏电费。

1、合作模式

1.1乙方负责本项目的投资、建设、运营、维护及管理工作；

2、合同期限
2, the contract deadline
2.1双方合同期限自 本协议双方盖章签字之日起 至 效益分享期满止
。在此期间，任何一方发生分立、合并情形，本协议对各方权利义务承继者继续有效；

2.2本项目的节能效益分享期的起始日为
项目建成投产日（电力局安装计量表日期），效益分享期为
25年。合同期满后，如双方决定终止合作，设备由乙方负责在一个月内转移或处置，相关费用由乙方承担。如果在拆除过程中对甲方房屋造成损坏的，乙方有义务进行维修，如乙方拒不维修的甲方有权指定供应商对损坏部分进行维修，乙方承担相关费用。

3、节能效益分享方式

（开具形式发票）的价格向乙方支付其使用的本项目所发电力费用作为光伏电费。如果电网电价出现变动时，以变动实施之月开始改变。

甲方所使用的本项目所发电力电量=光伏发电全部电量（以并网侧电力公司计量表为准）-光伏上网电量（以电力公司上网计量表为准）。甲方应在每月20日前向乙方支付上月的光伏电费。增值税抵扣部分已在电价中给予甲方17%的减免，因此乙方只向甲方开具形式发票。
